Welcome to CQ Nexus, operated by Casino Education Investments LLC dba Casino Quest and CEI Limited (collectively “CQ Nexus,” “we,” “our,” or “us”). These Terms of Use govern your access to and use of our website at CQNexus.com, the CQ Nexus application at play.cqnexus.com, our Nexus+ companion platform, our token economy, our Creator program, and all related online, in-app, or in-person services (collectively, the “Services”).

By accessing or using our Services — including creating an account, making a purchase, or participating in our community — you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1.  Nature of Our Services

CQ Nexus is an educational and entertainment platform dedicated to teaching casino games, dealer techniques, gaming strategy, bankroll management, and casino culture. Our platform includes digital game simulations, session tracking tools, community features, a creator economy, and educational content delivered through the CQ Nexus app and website.

We are not a gambling website. We do not host, promote, or facilitate real-money wagering. We do not offer opportunities to win money or prizes based on chance. Our game simulations use virtual chips and tokens — not real currency wagered on outcomes.

All information, strategies, and training materials are presented for educational and entertainment purposes only. Use of any strategy or system in a real-world casino environment is solely at your discretion and risk. CQ Nexus accepts no responsibility for outcomes resulting from application of our content in live gaming settings.

2.  Eligibility and Age Requirements

You must be at least 18 years of age to create an account, access the CQ Nexus application, purchase tokens, participate in the Creator program, or engage in any financial transactions through our platform.

Certain content, events, or programs offered through CQNexus.com may be intended for audiences 21 years of age or older where required by applicable law. Participation in those programs may require age verification.

The physical Casino Quest location in Las Vegas does not impose a strict age barrier for general access, but we recommend that minors be accompanied by an adult.

By using our Services, you confirm that you are at least 18 years of age (or the applicable age of majority in your jurisdiction, if higher) and that you meet any additional age requirements for the specific program or feature you are accessing. If we discover that a user under the age of 18 has created an account or engaged in financial transactions on the platform, we will suspend the account, reverse eligible purchases, and delete associated personal data in accordance with our Privacy Policy.

3.  Accounts and Registration

To access most features of the CQ Nexus platform, you must create an account. When you register, you agree to:

• Provide accurate, complete, and current information including your name and email address
• Maintain the accuracy of your account information and update it promptly if it changes
• Keep your password confidential and not share your login credentials with any other person
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at [email protected] if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that contain false information, are shared between multiple individuals, or are used in violation of these Terms.

You may not create more than one account per person without express written permission from CQ Nexus. Creating duplicate accounts to circumvent suspensions, exploit promotions, or manipulate platform systems is a violation of these Terms and may result in permanent removal from the platform.

4.  The CQ Nexus Application and Game Licenses

The CQ Nexus application (play.cqnexus.com) offers individual game modules — including Blackjack, Roulette, Craps, Baccarat, and future titles — for purchase as one-time digital licenses. Game licenses are tied to your account and are non-transferable.

Each game module includes authentic casino procedures, dealer techniques, and practice modes. Optional Dealer Mode Add-Ons are available as separate purchases and provide advanced training perspectives for each game.

You may use your purchased game licenses for personal, non-commercial use only. You may not sublicense, resell, redistribute, or share access to any game module. You may not reverse-engineer, decompile, or otherwise attempt to extract the underlying code or assets from any part of the CQ Nexus application.

We reserve the right to update, modify, or discontinue any game module or feature at any time. We will make reasonable efforts to notify users of material changes. We do not guarantee that any specific feature will remain available indefinitely.

5.  Nexus+ Subscription Plans

Nexus+ is our companion platform offering session tracking, bankroll management, community features, creator tools, and advanced analytics. Nexus+ is available in the following tiers: Free (5 included sessions with full access), Core, Pro, and Host. Subscription pricing is posted on our website and within the application and is subject to change with advance notice.

By subscribing to a paid Nexus+ plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection) until you cancel. Subscriptions automatically renew unless cancelled before the renewal date.

You may cancel your subscription at any time through your account settings. Cancellation stops future billing but does not generate a refund for the current billing period except where required by our Refund Policy or applicable law. Your access continues until the end of your paid period.

We reserve the right to modify the features included in any subscription tier with reasonable advance notice. If a material feature is removed from your subscribed tier, you may cancel and receive a prorated refund upon request.

6.  Token Economy

6.1  What Tokens Are

CQ Nexus Tokens are a digital stored-value currency used exclusively within the CQ Nexus platform. Tokens are not legal tender, are not a cryptocurrency or security, and are not redeemable for cash by regular users. Tokens may be used to tip Creators, purchase coaching sessions, purchase exclusive content, enter tournaments, and access other token-gated features within the platform.

6.2  Purchasing Tokens

Tokens are available for purchase at a rate of $0.10 per token (100 tokens = $10, 500 tokens = $50, 1,000 tokens = $100). Token purchases are processed through our WooCommerce checkout using Stripe or PayPal. All token purchases are final and non-refundable once credited to your wallet, except in cases of duplicate charges or verified technical errors as described in our Refund Policy.

6.3  Earning Tokens

Tokens may be awarded at platform discretion for achievements, referrals, community contributions, or promotional events. Earned tokens have the same in-platform utility as purchased tokens but are not eligible for Creator redemption.

6.4  Token Transfers

You may transfer tokens to Creators through tipping, coaching session purchases, content purchases, or tournament entries. All token transfers are recorded permanently in our ledger. Transfers are generally final. Disputes regarding non-delivered services may be submitted to [email protected] within 72 hours of the unfulfilled delivery date, and eligible disputes may result in a token wallet credit at our discretion.

6.5  Token Expiration and Account Closure

Tokens do not expire while your account is active. If your account is suspended or terminated for a violation of these Terms, any remaining token balance may be forfeited at our discretion. If you voluntarily close your account in good standing, please contact [email protected] to discuss any remaining balance before closing.

6.6  Prohibited Token Activity

The following activities are strictly prohibited and may result in immediate account suspension, forfeiture of token balances, and reporting to applicable authorities:

• Purchasing tokens using fraudulent or unauthorized payment methods
• Manipulating platform systems to earn tokens in ways not intended by the platform, including exploiting bugs, creating fake accounts, or using automated tools
• Attempting to sell, broker, or exchange CQ Nexus tokens outside of the platform
• Coordinating with other users to artificially inflate token balances or manipulate the token economy

7.  Creator Program

7.1  Who Creators Are

The Creator program allows approved members to publish educational content, host community spaces, run tournaments, offer coaching sessions, earn referral revenue, and build audiences within the CQ Nexus ecosystem. Creator status is earned through review and approval by CQ Nexus.

7.2  Becoming a Creator

To apply for Creator status, you must meet all of the following requirements:

• Have an active CQ Nexus account in good standing
• Complete the Creator onboarding process including profile setup and community guidelines review
• Complete Stripe Connect onboarding including identity verification and tax form submission (W-9 for US persons, W-8BEN for international persons)

Creator status may be revoked at any time for violations of these Terms or our Community Guidelines.

7.3  Creator Content

You retain ownership of original content you create and publish on CQ Nexus. By publishing content on the platform, you grant CQ Nexus a non-exclusive, royalty-free, worldwide license to display, distribute, and promote your content within the platform and in marketing materials related to CQ Nexus. You represent and warrant that your content does not infringe any third-party intellectual property rights, does not contain defamatory, obscene, or unlawful material, and complies with our Community Guidelines. We reserve the right to remove any content that violates these Terms without prior notice.

7.4  Creator Token Redemption

Creators with verified payout eligibility may redeem earned tokens for USD through Stripe Connect. The following rules apply:

• Minimum redemption threshold: 5,000 tokens ($500 gross value)
• A platform fee applies at redemption — current rate is posted in your Creator Dashboard
• Tokens must be held for a minimum aging window of 7 to 14 days to reduce fraud and chargeback risk
• A reserve percentage of creator earnings is held for a defined window to protect against chargebacks
• Tax documentation (W-9 or W-8BEN) must be complete and verified before any payout is processed

CQ Nexus reserves the right to hold, delay, or reverse a pending redemption if a chargeback is filed related to the underlying transactions, if a compliance review identifies a potential violation, or if tax documentation is found to be incomplete or inaccurate.

7.5  Creator Responsibilities

Creators are responsible for:

• The accuracy and legality of all content they publish
• Delivering any services they offer — coaching sessions, content, events — as described and on the agreed timeline
• Maintaining accurate tax information on file with CQ Nexus and Stripe
• Complying with all applicable laws related to their Creator activities, including income reporting requirements

8.  Purchases and Refund Policy

All purchases of digital content, game licenses, token packs, subscriptions, and early access bundles are subject to our Refund Policy, which is incorporated into these Terms by reference and available in full at play.cqnexus.com/refund-policy.

As a general summary: individual game licenses may be refunded within 48 hours of purchase if not substantially accessed; monthly subscription renewals may be refunded within 72 hours of billing if the platform has not been materially used in the new period; annual subscriptions may be prorated within 30 days; token purchases are final; and early access bundles are all-sales-final except in cases of technical error or platform non-launch.

All purchases are processed by CEI Limited as Merchant of Record. Please review the full Refund Policy before purchasing.

9.  Responsible Gaming

CQ Nexus promotes responsible gaming education as a core part of its mission. We encourage all users to treat casino play as entertainment — never as a means of income or a financial solution. You should only play with money you can comfortably afford to lose, and always set clear limits for time and budget.

While CQ Nexus does not facilitate real-money wagering, we recognize that engagement with casino-themed content and token spending may be a concern for some users. 10.  Intellectual Property

All videos, text, graphics, logos, icons, game assets, UI elements, achievement systems, training materials, and other content available through CQ Nexus are the exclusive property of Casino Education Investments LLC dba Casino Quest, CEI Limited, or their respective licensors.

You may not copy, reproduce, modify, distribute, publicly display, reverse-engineer, or create derivative works from any portion of our content or application without our express written consent. This includes screen recording, capturing, or redistribution of gameplay footage for commercial purposes without a Creator license agreement.

The CQ Nexus name, logo, and associated marks are trademarks of Casino Education Investments LLC. Unauthorized use of our trademarks is prohibited.

11.  Community Standards

CQ Nexus fosters a positive, inclusive, and knowledgeable community for players, dealers, and enthusiasts. All users — including Creators, Mentors, Coaches, and general members — agree to the following standards. You will not:

• Post or transmit material that is unlawful, harassing, threatening, defamatory, obscene, discriminatory, or otherwise objectionable
• Impersonate another user, Creator, CQ Nexus staff member, or any other individual
• Spam, solicit, advertise third-party products, or conduct unauthorized commercial activity within the platform
• Share, distribute, or promote cheating methods, exploits, or strategies designed to defraud casinos or other players in real-world settings
• Engage in coordinated manipulation of the token economy, leaderboards, or achievement systems

We reserve the right to remove content, suspend accounts, revoke Creator status, and permanently ban users who violate these standards. Serious violations — including financial fraud, identity fraud, or illegal activity — may be reported to applicable law enforcement.

12.  No Guarantee of Outcomes

All strategies, betting systems, dealer training materials, and simulated gameplay provided through CQ Nexus are for demonstration and education only. We make no guarantee — express or implied — regarding the accuracy, effectiveness, or profitability of any strategy discussed on our platform or in our content.

Simulated gameplay results do not reflect real casino outcomes. Casino games involve mathematical house edges and elements of chance. Past performance or examples shown in our materials are not indicators of future results in any gaming environment.

13.  Third-Party Links and Integrations

Our Services may contain links or integrations with third-party platforms including but not limited to Stripe, PayPal, WooCommerce, Google reCAPTCHA, YouTube, and casino partner pages. We do not control or endorse third-party sites and are not responsible for their content, privacy practices, or terms of service.

Your interactions with third-party services are governed by those services’ own terms and policies. We encourage you to review them before engaging.

14.  Accuracy of Information

We strive to provide accurate, timely, and useful information. However, we do not warrant that all content will be error-free, complete, or current. All information is provided “as is” and should be interpreted for general knowledge and entertainment only. CQ Nexus reserves the right to correct errors, update information, and modify content at any time without prior notice.

15.  Disclaimer of Warranties

To the fullest extent permitted by applicable law, CQ Nexus provides the Services on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service availability.

We do not warrant that the platform will be error-free, that access will be uninterrupted, or that defects will be corrected within any particular timeframe. We do not warrant that the CQ Nexus platform or its servers are free of viruses or other harmful components.

16.  Limitation of Liability

To the fullest extent permitted by applicable law, CQ Nexus, Casino Education Investments LLC, CEI Limited, and their respective affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Services, including but not limited to loss of data, loss of tokens or wallet balance, loss of profits, or business interruption.

Our total aggregate liability to you for any claims arising from or related to the Services shall not exceed the greater of (a) the total amount paid by you to CQ Nexus in the 12 months preceding the claim, or (b) $100.

You agree to hold CQ Nexus harmless from any claims resulting from your participation in or interpretation of our materials, your use of any strategy in a real-world gaming environment, or your violation of these Terms.

17.  Indemnification

You agree to indemnify, defend, and hold harmless CQ Nexus, Casino Education Investments LLC, CEI Limited, and their respective affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content you submit or publish through the platform.

18.  Termination

We reserve the right to suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason including but not limited to violation of these Terms, fraudulent or abusive behavior, token economy manipulation, chargebacks filed in bad faith, or conduct that we determine to be harmful to the platform or its community.

Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall survive.

If your account is terminated for cause, any remaining token balance may be forfeited and any pending Creator redemptions may be cancelled. We are not obligated to provide a refund for purchased products or services in cases of termination for Terms violations.

19.  Modifications to These Terms

We may update or revise these Terms periodically to reflect changes in our Services, legal obligations, or business practices. When we make material changes, we will update the “Last Updated” date at the top of this document, post the updated Terms at CQNexus.com/terms, and where practical, notify registered users by email at least 14 days before the change takes effect.

Continued use of our Services following any updates constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use and may close your account before the effective date.

20.  Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

Before initiating any formal legal action, you agree to contact us at [email protected] and provide a written description of the dispute and the relief you are seeking. We will attempt to resolve disputes informally within 30 days of receiving your notice.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in connection with intellectual property violations or unauthorized access to the platform.

21.  Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

22.  Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy (each incorporated by reference), constitute the entire agreement between you and CQ Nexus regarding your use of the Services, and supersede all prior and contemporaneous agreements, understandings, and communications — whether written or oral — relating to that subject matter.
